1. Acceptance of Terms

2. Eligibility and Compliance

You may use the Services only if you are at least the age of majority in your jurisdiction and legally capable of entering into binding contracts. By using the Services, you represent and warrant that:

• You are not a person barred from using the Services under applicable law.
• Your use of the Services complies with all applicable laws and regulations, including but not limited to securities, financial, anti-money laundering (AML), and counter-terrorist financing (CTF) regulations.
• You are not located in, organized in, or a resident of any jurisdiction where use of the Services would be unlawful or would require registration of EBIS Digital or the Services.

3. Nature of the Services

EBIS Digital provides tools and infrastructure for a decentralized ecosystem focused on entrepreneurship, business, and innovation, including, without limitation:

• DAO-style governance participation and voting mechanisms;
• Startup discovery, evaluation, and community discussion;
• Access to information about tokenized funding rounds and related mechanisms, where available;
• Educational and community resources about entrepreneurship and innovation.

EBIS Digital does not guarantee the listing, funding, or success of any startup or project. Participation in any governance, token-related activity, or project funding is solely at your own risk and discretion.

4. No Financial, Investment, or Legal Advice

Nothing on or through the Services constitutes, or should be construed as, financial, investment, legal, tax, or other professional advice. EBIS Digital does not recommend or endorse any particular project, token, startup, or investment strategy.

You are solely responsible for conducting your own independent research and obtaining professional advice before making any financial, investment, or legal decisions. You acknowledge that you use any information or materials obtained through the Services at your own risk.

5. Tokens, Digital Assets, and Smart Contracts

The Services may interact with, display information about, or facilitate your interaction with blockchain networks, smart contracts, tokens, or other digital assets (collectively, "Digital Assets"). You understand and agree that:

• Digital Assets can be highly volatile and speculative, and you may lose some or all of the value associated with them.
• EBIS Digital does not control the underlying blockchain networks or smart contracts and is not responsible for their operation, security, or functionality.
• Interactions with smart contracts are irreversible and may carry inherent risks, including bugs, exploits, or unexpected outcomes.

You are solely responsible for understanding how any Digital Assets and smart contracts function before interacting with them. EBIS Digital does not and cannot guarantee any particular outcome, performance, or return.

6. Accounts, Security, and Wallets

The Services may allow or require you to connect a digital wallet or create an account. You are solely responsible for:

• The security of your devices, wallets, and private keys;
• Maintaining the confidentiality of any login credentials;
• All activities that occur using your connected wallets or accounts.

EBIS Digital will never ask you for your private keys or seed phrases. If you suspect unauthorized access to your account or wallet in connection with the Services, you should notify us immediately and take appropriate steps to secure your assets.

7. Acceptable Use and User Conduct

You agree that you will not, and will not permit any third party to:

• Use the Services for any unlawful, fraudulent, or malicious purpose;
• Violate any applicable law or regulation, including with respect to financial instruments, securities, or sanctions;
• Upload, transmit, or otherwise make available any content that is harmful, offensive, defamatory, harassing, or infringing;
• Attempt to interfere with, disrupt, or compromise the security or integrity of the Services or any related systems;
• Reverse engineer, decompile, or attempt to derive the source code of any proprietary components of the Services, except as permitted by law;
• Use any automated means (including bots, scrapers, or crawlers) to access the Services except in accordance with our explicit written permission.

8. Intellectual Property

Unless otherwise indicated, all content, trademarks, logos, design elements, and other intellectual property on or associated with the Services ("EBIS Digital Content") are owned by or licensed to EBIS Digital and are protected by applicable intellectual property laws.

Subject to your compliance with these Terms, EBIS Digital grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal or internal business purposes only. You may not copy, modify, reproduce, distribute, create derivative works of, or publicly display any EBIS Digital Content without our prior written consent, except as otherwise permitted by law.

9. Third-Party Services and Links

The Services may include links to or integrations with third-party websites, applications, smart contracts, or services ("Third-Party Services"). EBIS Digital does not endorse, control, or assume responsibility for any Third-Party Services, and your use of them is subject to the separate terms and policies of those third parties.

You acknowledge and agree that EBIS Digital is not liable for any loss or damage arising from your interactions with any Third-Party Services.

10. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

EBIS DIGITAL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED.

YOU ACKNOWLEDGE THAT BLOCKCHAIN NETWORKS, SMART CONTRACTS, AND DIGITAL ASSETS INVOLVE INHERENT RISKS, INCLUDING TECHNICAL FAILURE, REGULATORY CHANGES, AND MARKET VOLATILITY. EBIS DIGITAL IS NOT RESPONSIBLE FOR ANY LOSSES RESULTING FROM SUCH RISKS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EBIS DIGITAL, ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT LIABILITY CANNOT BE EXCLUDED, THE AGGREGATE LIABILITY OF EBIS DIGITAL FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL BE LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID, IF ANY, TO EBIS DIGITAL FOR USE OF THE SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100 (ONE HUNDRED DOLLARS).

12. Indemnification

You agree to indemnify, defend, and hold harmless EBIS Digital and its officers, directors, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with (a) your access to or use of the Services, (b) your violation of these Terms, or (c) your violation of any applicable law or any rights of a third party.

13. Suspension and Termination

We may, at our sole discretion, suspend or terminate your access to all or part of the Services at any time, with or without notice, if we believe that:

• You have violated these Terms or any applicable law;
• Your use of the Services poses a risk to us, other users, or any third party;
• We are required to do so by law or regulatory authority.

Upon termination, your right to access and use the Services will immediately cease. Any provisions of these Terms that by their nature should survive termination shall so survive, including, without limitation, ownership provisions, warranty disclaimers, and limitations of liability.

14. Changes to the Terms

We may update or modify these Terms from time to time at our sole discretion. When we do, we will update the "Last updated" date at the top of this page and may provide additional notice as appropriate.

Your continued access to or use of the Services after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services.

15. Governing Law and Dispute Resolution
